INTRODUCTION

This is a legal agreement between you, i.e., the person accessing, viewing, or using the web application available at https://radiostud.io (“Website” , "Site") (referred, in this document, to as “you”, “your” or “User” as the case may be) and Radiostudio Tech. Pvt. Ltd., a company incorporated under the provisions of the Companies Act, 2013, and having its registered office at #104/6 Suncity Ibblur Village, Sarjapur Outer Ring Road, Bangalore - 560102 ("Company" , “Radiostudio” , “us”, “our” or “we”).

This document (“Terms”) sets forth the legally binding terms and conditions for your use of the Website and any other platforms that may be made available to you in the future including, but not limited to, mobile applications and electronic devices in connection with our Services (defined below). These Terms shall govern the use of this Website and our Services (as defined below) by all Users, irrespective of whether such User is a subscriber of free or paid Services. Therefore, please read these terms carefully before using this Website and availing Services offered by us.

‍By subscribing to any of our Services and/or using, accessing this Website in any manner, you consent to be bound by all of the terms contained herein and on the Website, which also incorporates the privacy policy available at Privacy Policy and all other operational rules and policies that may be published from time to time by us, each of which is incorporated by reference in these Terms and each of which may be updated by us from time to time. In addition, some Services may be subject to additional terms and conditions communicated by us to you, from time to time, and your use of such Services is subject to such additional terms and conditions, which are incorporated into these Terms by reference.


CONTENT OWNERSHIP

The Site, including all text, photographs, graphics, video and audio content contained on the Site is protected by copyright as a collective work or compilation under the copyright laws of India and other countries, and Company (subject to the rights of its licensors) has all rights therein. All individual articles, blogs, videos, content and other elements comprising the Site are also copyrighted works, and Company (subject to the rights of our licensors) has all rights therein. The curated content sourced from external websites and published on our Website remains the copyright of the original source.You must abide by all additional copyright notices or restrictions contained on the Site. 


YOUR USE OF THE WEBSITE CONTENT

Unless expressly permitted, you may not copy, reproduce, distribute, publish, display, perform, modify, create derivative works from, transmit or in any way exploit any part of our Site or any content thereon, except as permitted elsewhere in these Terms of Use.  Without limiting the foregoing, Radiostudio grants to you a limited, revocable, non-sublicensable license to download certain materials made available for download on the Site, for non-commercial purposes only.  In addition, just as Radiostudio, from time to time, curates content from other sources in order to support the various commentaries and writings contained on the Site, we respect the right of others to make “fair use” of the materials contained on the Site; accordingly, you may from time to time excerpt and use materials set forth on the Site consistent with the principles of “fair use”.


YOUR SITE PARTICIPATION

Your participation in the Site is important to us and we encourage you to say what is on your mind.  However, you agree to use the Site in a manner consistent with all laws, regulations and these Terms of Use. You are expressly prohibited from posting any information, testimonial, text, music, sound, photograph, graphic, video or message (collectively “Content”) that:

  • could be considered obscene, lewd, lascivious, excessively violent, harassing, patently offensive or promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
  • provides any telephone number, street address, email address, or photograph of another person, without that person’s consent, or otherwise constitutes an invasion of an individual’s privacy;
  • promotes information that you know is false, misleading, defamatory or libelous;
  • violates any intellectual property or other proprietary right (including trade secrets) of any third party, including Content that promotes an illegal or unauthorized copy of another person’s copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protected devices, or providing pirated music or links to pirated music files; or,
  • involves the transmission of “junk mail,” “chain letters,” or unsolicited mass mailing, instant messaging, “spimming,” or “spamming” or involves commercial activities or sales.

We do not prescreen Content posted by users and cannot guarantee the Site will be free from content that is inaccurate, deceptive, offensive, defamatory, unlawful or otherwise objectionable. You acknowledge that we are acting only as a passive channel for such distribution. We have no liability relating to any user content or activities of users on the Site. Even in the event we choose to monitor any user content, we assume no responsibility for, or any obligation to monitor or remove, such user content. Notwithstanding the foregoing, Radiostudio reserves the right to block or remove content at any time in our sole discretion.


USER REPRESENTATION

By using the Site, you represent and warrant that:

  • all registration information you submit will be true, accurate, current, and complete;
  • you will maintain the accuracy of such information and promptly update such registration information as necessary;
  • you have the legal capacity and you agree to comply with these Terms of Use;
  • you are not a minor in the jurisdiction in which you reside;
  • you will not access the Site through automated or non-human means, whether through a bot, script or otherwise;
  • you will not use the Site for any illegal or unauthorized purpose; and
  • your use of the Site will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof).


USER REGISTRATION

You may be required to register with the Site for accessing certain products and services (as defined below). You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.


Product and Service Subscriptions

Radiostudio offers an array of information products ("Products" , "Product") and subscription services ("Services" , "Service") and the Website is a platform that enables dissemination of all the Products and Services in the form of content to Users through different media including but not limited to written, audio, visual, textual, or physical means. Services shall also include any incidental or ancillary Services provided by Company through this Website, or through any online or offline platform that may be opted by the Company in its sole discretion for transmission of its Services in the future, including but not limited to mobile applications or electronic devices. These Services are provided to you subject to these Terms and may be utilized by you, solely for your own use, and not for the use or benefit of any third party.

Your access to our Products and Service subscriptions is contingent on the following terms and conditions:

  • Your purchase of any of our information Products or Services is bound by the same terms and conditions as the user of website content described above;
  • Subscription to any Service will allow you access only to the content and sessions available under such Service. We may, in our sole discretion, decide to add-on certain additional and optional content or sessions, free of charge or for a fee, from time to time, but this will not be a matter of right of the User;
  • Subscription to any Service will be valid for a period of 1 (one) year from the date of subscription. We reserve the right to delete and or restrict your access to the Service at any point in time post the expiry of this period; and
  • In our endeavour to continuously improve our offering of Services, we may offer different packages of Services with different prices to members of the same cohort at our sole discretion.

PRICING AND PAYMENTS

You agree to pay all fees and applicable charges for Products or Services you purchase from us. All fees and applicable charges are payable in full and in advance. Payments against Service subscriptions will be valid until the completion of the period of your selected Service or until cancelled or terminated in accordance with these Terms. We reserve the right to delete or suspend your access to Services for incomplete payment of fees and applicable charges.

Please note that we use third party payment gateways or aggregators (“Third Party Payment Service Providers”) for the purpose of collection of fees and applicable charges. Please note that such Third Party Payment Service Providers are independent service providers and not an agent or employee of Radiostudio and are independent of and not connected to the Company in any manner whatsoever. In the event that you are re-directed to any external website or application of such Third Party Payment Service Providers, we disclaim all liability regarding:

(a) the privacy of your information shared on such websites or applications;

(b) security and protection measures for the information and data shared and technology employed on such websites or applications, and;

(c) any and all interaction, correspondence, transactions that may occur between you and such Third Party Payment Service Providers.

We strongly advise you to read and understand the terms and conditions and privacy policy and any other policies that may be applicable and available on their platform before using their services and sharing any information with them.

INTELLECTUAL PROPERTY RIGHTS

All Products and Services provided by us through the Website and the associated content (“Content”) is protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws, as applicable.

Copyright in Content on the Website and Services, including but not limited to all Content, software, design, text, sound recordings and images, are our exclusive property, or licensed to us, except as otherwise expressly stated. All trademarks, service marks, trade names, trade dress, and other forms of intellectual property used on the Website and in connection with the Services are either proprietary to us or have been licensed to us. Nothing in these Terms shall be deemed to grant to the User, either directly or indirectly, any license or other right under any copyright or other intellectual property owned by or licensed to Radiostudio.

You must:

(a) not copy, reproduce, republish, upload, post, transmit or distribute in any way any Content or part thereof from the Website or Services;

(b) not copy, transmit, display, perform, distribute (for compensation or otherwise), license, alter, store, or otherwise use the Website or Services in any manner inconsistent with these Terms;

(c) not delete, alter, or modify any Content of the Website or the Services in any way, including but not limited to copyright or trademark symbols, logos, that you do not own or have express permission to modify, and;

(d) not reverse engineer, disassemble or decompile any of the software and/or technological components of our Website or Services in whole or in part.

Subject to these Terms, we grant each User a limited, non-exclusive, non-sublicensable and non-transferable license to the use of this Content solely for their own personal, non-commercial use. Use or storage of any such Content for purposes other than personal, non-commercial use is expressly prohibited unless expressly permitted by us in writing. All Content provided by us is to be used by you only in the capacity of an end user of the Products or Services and such Content is made available without any representations or warranties whatsoever and we hereby disclaim any implied warranties, including but not limited to warranties of fitness for use, accuracy, merchantability, or non-infringement.

Please note that the Website may include content, whether publicly posted or privately transmitted which is created and provided by other Users or third parties. However, we cannot and do not guarantee the authenticity of any such content. You acknowledge that all content accessed by you in connection with the Service is at your own risk and you will be solely responsible and liable for any damage or loss to you resulting therefrom. If you submit content to the Website, you hereby grant us a non-exclusive, worldwide, royalty-free, sub-licensable, transferable license to use, reproduce, distribute such content on our Website.


PROHIBITED ACTIVITIES

You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.  

As a user of the Site, you agree not to:

7.  Make improper use of our support services or submit false reports of abuse or misconduct.
8.  Interfere with, disrupt, or create an undue burden on the Site or the networks or services connected to the Site.
9.  Attempt to impersonate another user or person or use the username of another user.
10.  Sell or otherwise transfer your profile.
11.  Use any information obtained from the Site in order to harass, abuse, or harm another person.
12.  Copy or adapt the Site’s software, including but not limited to PHP, HTML, JavaScript, or other code.
13.  Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of the Site or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Site.
14.  Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats (“gifs”), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as “spyware” or “passive collection mechanisms” or “pcms”).
15.  Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Site, or using or launching any unauthorized script or other software.
16.  Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Site.
17.  Use the Site in a manner inconsistent with any applicable laws or regulations.


THIRD PARTY APPS

Your use of the Website, our Products, and Services may lead you to links of other websites or applications on the internet. When you access third party websites, you do so at your own risk. These other websites are not under our control, and you acknowledge that we are not responsible or liable for the content, functions, accuracy, legality, appropriateness or any other aspect of such websites or applications. The inclusion of any such link does not imply our endorsement of such websites or applications or association with its operators. You further acknowledge and agree that we shall not be responsible or liable, directly, or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such website or application.


INDEMNITY

You agree to defend, indemnify, and hold harmless Radiostudio, its affiliates, officers, directors, employees and agents for all losses, costs, actions, claims, damages, expenses (including legal costs) or liabilities, that arise from or relate to:

(a) your use or misuse of the Website or Services or Content;  

(b) violation of any of the terms of these Terms;

(c) your infringement of any of our intellectual property rights or third party’s intellectual property;

(d) the use of our Services and any connected interaction with Third Party Payment Service Providers.

Radiostudio shall not be liable to you for any claims arising out of any act or omission on the part of Third Party Payment Service Providers in connection with the processing of fees and applicable charges. Radiostudio explicitly disclaims any responsibility and liability for any and all services provided by the Third Party Service Providers.


LIMITATION OF LIABILITY

All liability of Radiostudio, its directors, officers, employees, and agents is expressly excluded to the fullest extent permissible under law for any direct, indirect, incidental, special, punitive, and consequential losses or damages howsoever arising from:

(a) your use of our Website and Services and Content;

(b) your use of content provided by other Users;

(c) you use of content provided by third parties;

(d) any unauthorized access or use of our secure servers.

We shall not be liable or responsible for:

(a) interruption or cessation of use of our Website or Services or performance of any of our other obligations under these Terms due to any act or event beyond our reasonable control, including force majeure;

(b) our inability to meet your individual requirements from the Website or Services as it is your responsibility to ensure whether the Website or Services are adequate to meet your own individual expectations prior to registering or subscribing on our Website and for our Services respectively.

‍Nothing contained herein shall be deemed to exclude or limit your liability in respect of any indemnity given by you under these Terms.

Without prejudice to the foregoing, none of the directors, officers, employees, and agents of Radiostudio shall be personally liable for any action in connection with the Website or Services.


TERMINATION OF SERVICES / DELETION OF ACCOUNT

We reserve the right to terminate your account and access to all or any part of the Website or Services at any time, effective immediately, for violation of any of the terms of these Terms. If you wish to terminate your account, you may do so by following the instructions on the Website. However, any fees or applicable charges already paid will remain non-refundable even in the event of a termination of account. All provisions of these Terms which by their nature shall survive termination, including, without limitation, ownership provisions, indemnity and limitations of liability. We reserve the right to promptly terminate or suspend your account or remove or disable your access to any information that is unlawful.


MODIFICATION OF TERMS OF USE

We reserve the right, at our sole discretion, to modify or replace any of the terms of these Terms, or change, suspend or discontinue any of our Services at any time with due notice to you via the Website or by email. We may also impose limits on certain features and restrict your access to certain parts of the Website without notice or liability. You acknowledge that it is your responsibility to check these Terms for updates periodically. Your continued use of the Website and Services following the posting of any changes to these Terms will be deemed to constitute an acceptance of those changes.


APPLICABLE LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of India. For the purposes of these Terms, you consent to the courts of Bengaluru, India having exclusive jurisdiction over any and all disputes that arise out of, or in relation to or connected with these Terms. 


GRIEVANCE REDRESSAL

If you wish to raise a query or complaint with us, please contact us, addressing Mr. Shyam Purkayastha (Director) who shall acknowledge your complaint within 48 (fourty eight) hours from the time of receipt of such complaint. Kindly note that once your complaint is received, we shall use our best efforts to redress it within a period of 15 (fifteen) days from the date of receipt of such complaint.
